Thoma Bravo Completes Acquisition of AI Leader Verint

Thoma Bravo, a prominent software investment firm, has announced that it has completed the acquisition of Verint Systems, Inc. (“Verint”) on November 26, 2025, and has officially merged the company with Calabrio, one of its existing portfolio brands. This move brings together two major leaders in customer experience (CX) automation, creating what is now positioned as the industry’s most comprehensive AI-powered CX platform.

With the transaction finalized, Verint’s long-serving Chairman and CEO, Dan Bodner, will shift into an advisory position. Effective immediately, Mike Lipps, an Operating Partner at Thoma Bravo, will assume the role of Chairman of the Board for the combined organization and step in as Verint’s interim CEO. The Verint executive leadership team will now report directly to him. Meanwhile, Calabrio CEO Dave Rhodes will continue leading Calabrio in his current role, also reporting to Lipps.

Reflecting on Verint’s achievements, Bodner stated:

"I am proud of our CX automation category leadership and the tremendous value our AI-powered solutions have delivered to leading brands around the world. With Thoma Bravo's support, I am confident Verint is poised for continued innovation and growth. As I transition to an advisory role, I look forward to supporting Mike and the team as they take Verint to the next level of success."

The merger builds on strong momentum within the CX automation sector, where businesses are rapidly adopting AI-driven tools to improve operational efficiency, agent performance, and customer satisfaction. By combining Verint’s robust analytics and engagement solutions with Calabrio’s workforce optimization and omnichannel capabilities, the newly integrated company aims to deliver a more unified, scalable, and intelligent approach to customer experience transformation.

Looking ahead, Lipps emphasized the strategic value of uniting both companies:

"We look forward to bringing together the complementary strengths of Verint and Calabrio to lead the market as a CX Automation powerhouse. The market demand for AI-powered solutions has never been stronger and continues to accelerate. By uniting these great teams and product portfolios, the combined company will be uniquely positioned to deliver transformative outcomes for organizations of all sizes."

This consolidation is expected to create a more powerful CX automation ecosystem—one capable of supporting global enterprises with end-to-end AI-powered capabilities across analytics, workforce optimization, engagement automation, and operational intelligence. By leveraging the strengths of both Verint and Calabrio, Thoma Bravo aims to meet rising demand for integrated CX platforms and deliver enhanced value to customers worldwide.
